Sr. Counsel, Technology Transactions

ADP is looking for a Senior Counsel, Technology Transactions to support our Global Procurement organization in negotiating various technology contracts. This successful candidate should have sophisticated practice experience and be capable of providing high level support to structure deals, draft and negotiate, and make decisions based on knowledge of the market. This role reports to the VP, Managing Counsel for Technology Transactions and Real Estate and is a part of a sophisticated and collaborative team of seasoned attorneys.


  • Provide timely and pragmatic legal counsel to the Global Procurement team -- meeting critical internal and vendor timelines for material agreements.
  • Provide guidance and support to contract/transaction managers to enable and empower them to efficiently navigate the contract negotiation process and support as a point of escalation for legal assistance.
  • Synthesize and summarize information efficiently to allow informed and reasonable decisions on complex issues escalated for legal review.
  • Provide seasoned legal advice on complex technology transactions -- including knowledge of the market.
  • Exercise independent judgment to bring in stakeholders as necessary and update management on status of projects.
  • Resolve contract disputes.
  • Work collaboratively with existing team of 5 attorneys and 1 paralegal currently supporting function.
  • Lead and support legal department projects including compliance and data privacy-related initiatives.
  • Assist with the creation, review and revision of ADP Global Procurement standard contract templates and training materials.
  • Provide formal and informal training to contract managers, transaction managers and business partners.
  • Support and assist in updating Global Procurement policies and procedures across ADP.


  • Juris Doctor degree from an ABA accredited law school.
  • Admission in good standing to the New Jersey state bar.
  • 8-12 years of experience, including both large firm and in-house practice with strong relevant experience and emphasis on technology transactions.
  • Superior contract negotiation and drafting skills and deep understanding of contract provisions and complex contract structures.
  • Ability to quickly understand new technology and new regulations.
  • Demonstrated knowledge of data privacy and compliance.
  • Excellent verbal and written communication skills, including the ability to synthesize complex legal and technological concepts and summarize and explain them simply and concisely to various levels of management.
  • Ability to be assertive while maintaining collaborative, diplomatic and professional demeanor.
  • Ability to calmly juggle multiple demands, work under pressure and meet critical deadlines.
  • Ability to navigate and run reporting in technology systems used by Global Procurement.

PREFERRED QUALIFICATIONS: Preference will be given to candidates who have the following:
  • Extensive knowledge of requirements under the Bank Secrecy Act, USA PATRIOT Act, OFAC and international AML and sanctions regulations (e.g., FATF).
  • Ability to identify legal issues in an innovative and fast paced environment.
  • Multi-jurisdictional, global organization experience.
  • Experience applying BSA/AML knowledge and application of legal requirements - including relevant industry best practices - across a broad range of unique, non-traditional financial products and services.
  • Excellent written and verbal communication, as well as presentation skills.
  • Strong cross-functional teaming experience.
